Terms and Conditions of Service

1. Acceptance of Terms & Eligibility

By accessing, subscribing to, or deploying PathSutra Edu (the "Platform", "Service", or "Software"), your educational institution ("School", "College", "Subscriber", or "You") enters into a binding legal agreement with PathSutra Solutions Pvt. Ltd. ("Company", "We", or "Us").

These Terms govern all associated services, including web portals, mobile applications (Android/iOS), API integrations, biometric hardware push gateways, and AI telemetry analytics. If you represent a school, you warrant that you possess full administrative authority to bind the institution.

2. Cloud Software License & User Roles (RBAC)

Subject to an active subscription, PathSutra Solutions grants the Subscriber a non-exclusive, non-transferable, revocable license to use the cloud platform within the boundaries of the authorized campus and student capacity.

• Role-Based Access Control (RBAC): The institution is responsible for maintaining secure credential allocations across Principals, Accountants, Teachers, Parents, and Students.
• Account Security: The school administrator is responsible for all activity conducted under its institutional tenant accounts.
• Prohibited Use: Subscribers shall not reverse engineer, decompile, resell, or distribute the platform source code or database schemas.

3. School Data Ownership & Student Privacy

PathSutra acts strictly as a secure cloud data processor. We maintain TLS 1.3 encryption in transit, AES-256 encryption at rest, and automated off-site daily backups. For comprehensive information on how we handle personal data, please review our Privacy Policy.

4. Subscription Fees, Invoicing & Nepal FinTech

Subscription plans are billed annually or semi-annually based on enrolled student tier brackets, as stipulated in your institutional onboarding quotation.

• Currency & Invoicing: All subscription charges are calculated in Nepalese Rupees (NPR / रू) inclusive of applicable government VAT and TDS rules.
• Integrated Nepal Payment Gateways: When school fees are collected from guardians via integrated digital wallets (eSewa, Khalti, ConnectIPS, Fonepay), standard merchant gateway settlement timeframes and transaction fees apply as determined by Nepal Rastra Bank regulations.
• Payment Term: Invoices are payable within 30 calendar days from the date of issuance.

5. Curriculum Development Centre (CDC) Grading & Marksheets

PathSutra Edu provides automated 8-point letter grading calculations compliant with Nepal CDC guidelines, including 25% Continuous Assessment (CAS) and 75% final theory weighting.

While our calculation engine undergoes rigorous verification, the ultimate verification, signing, and issuance of official academic marks and SEE board eligibility remains the sole responsibility of the school's examination committee and principal.

6. Biometric Gateways & Fleet GPS Telemetry

• Hardware Compatibility: PathSutra connects via cloud API to compatible biometric attendance machines (ZKTeco, Realtime, Hikvision). The school is responsible for local campus power, network connectivity, and physical device maintenance.
• SMS Gateways: Automated parent SMS notifications for absent or late punches are routed through licensed Nepal telecom carriers (NTC, Ncell). Dispatch speed may depend on local mobile operator network availability.
• School Bus GPS: Live parent map tracking relies on active satellite GPS devices installed on campus transit vehicles.

7. Service Level Agreement (SLA) & 99.9% Uptime

We commit to providing 99.9% monthly cloud availability for enterprise institutional subscribers, excluding pre-announced off-peak maintenance windows (typically scheduled between 1:00 AM – 4:00 AM NPT).

In the event of an unplanned critical outage, our Pokhara and Kathmandu site reliability engineers provide rapid resolution backed by daily multi-region snapshot backups.

8. Intellectual Property & Brand Rights

All software algorithms, database designs, user interface code, neural risk analytics models, graphics, and trademarks associated with PathSutra Edu and Sutra AI are the exclusive intellectual property of PathSutra Solutions Pvt. Ltd..

9. Limitation of Liability

To the maximum extent permitted under Nepalese Law, PathSutra Solutions Pvt. Ltd. shall not be liable for indirect, incidental, or consequential damages resulting from school administrator data entry errors, third-party internet service provider outages, or local hardware power failure.

10. Termination, Non-Renewal & Data Export

Either party may terminate the agreement upon 60 days written notice prior to the start of a new academic session. Upon termination:

• The school is entitled to a complete export of all student academic records, marksheet ledgers, and attendance archives in standard CSV and Excel formats.
• Following a 90-day grace transition window, all institutional tenant data is permanently scrubbed from our active cloud databases.

11. Governing Law & Dispute Resolution (Nepal)

These Terms of Service are governed exclusively by and construed in accordance with the laws of the Federal Democratic Republic of Nepal. Any dispute arising out of or in connection with this agreement shall be settled amicably, failing which jurisdiction is submitted to the competent courts of Pokhara, Kaski District, Gandaki Province, Nepal.
